This role is responsible for collaborating between Legal and the CorpDev, VC and IMO teams on all legal related work, including managing communications, documents and due diligence processes. Additionally, this role will perform paralegal duties relating to corporate, commercial and M&A law.Reports To: VP, Corporate and Finance LawSpan of Control: No direct reportsJOB RESPONSIBILITIESM&A and VC Due Diligence Coordination and Deal Document Management (70% time spent)Leads Confidentiality/Non-Disclosure Agreement ("NDA") process with Legal on behalf of CorpDev and VC teams for all projects. Coordinates and executes any document destruction requirements (requires confirmation for entire extended project team)Review and comment on NDAsReview and coordinate gathering of information, materials, documents, reports and evidence necessary to respond to due diligence requestsLead due diligence calls and project team meetings between OC internal functions and outside counselPartner with cross-functional Legal leaders and internal other subject matter experts, transaction team members and external counsel and advisorsPrimary contact for transaction team for electronic virtual dataroom ("VDR") questions and user trainingAct as project manager for internal team (Legal, CorpDev, VC and Business) with respect to due diligence reviews. Consolidate requests, track response and progress, and ensure team remains on scheduleFor divestitures (and some acquisitions), responsible for engaging VDR vendor, negotiating fees, creating and maintaining VDRProvides review support on deal documents for Legal teamManage records, gather information, research requirements, docket necessary actions and approvals including drafting resolutions and minutes for merger and acquisition dealsTrack and communicate all material deadlinesCreate and maintain centralized repository that would entail deal specific documentsCoordinate with CorpDev, VC and Business on budgeting and monthly forecasting for dealsEnterprise Legal Connection Integration Lead (20% time spent)Main conduit between Legal and IMOActive and engaged IMO team member, regularly attending IMO meetings (team huddles, integration update meetings, project meetings, etc.) and actively contributing to progressing IMO enterprise strategyEstablish a legal integration community of practice and foster the upskilling of key integration capabilities within the organizationAccountable to identify and oversee Legal talent with right capabilities with appropriate time allocation to support each dealManage critical legal integration issues and advance efficient and effective solutionsProvide counsel to integration Legal resources as well as IMO team membersIdentify and propose solutions for issues that impact multiple projects - drive continuous improvement as it relates to integrationLead with Inclusion and Diversity at core.
