Robert Half Legal is exclusively partnering with a global manufacturing organization to find their next Corporate Counsel. This is a unique opportunity for an experienced in-house attorney to be part of a team that is helping shape the future of manufacturing on a global scale. This person will contribute to projects that have a lasting impact across industries, from aerospace to healthcare.
The Senior Corporate Counsel will play a crucial role in supporting the company's strategic objectives. This person will oversee legal services related to commercial contracts, business operations, and global compliance matters. Additionally, this person will act as an advisor on matters related to corporate and regulatory matters.
Responsibilities:
Collaborate with internal business partners & the C-Suite to support sales and other corporate functions.
Review and negotiate commercial terms and conditions.
Engage in M& A matters, including agreements, transactions, and post-merger integration.
Manage and create business processes aligned with corporate policies and legal/regulatory requirements.
Provide reports on the company's compliance program related to government contracts, import/export.
Ensure compliance with various legal and regulatory requirements related to government contracts, import/export.
Offer guidance on export and import classification determinations.
Complete license determinations on international shipments and ensure compliance with export licenses.
Requirements
Required:
JD from an accredited law school.
5+ years of demonstrated experience in general corporate matters with a focus on regulatory compliance and commercial contracts.
Experience working with FAR/DFARS, CoC, ITAR, & EAR compliance matters.
Preferred:
Proficiency in Import/Export documentation, product valuations, conflict minerals, HSR, CFIUS, and privacy considerations.
Previous experience with Harmonized Tariff Schedule (HTS).
Familiarity with economic sanctions, export and import classifications, Free Trade Agreements (FTA), Importer Security Filing (ISF), and Additional Carrier Requirements.
**This is a hybrid position and requires at least 2-3 days/week on-site. Must be open to going on-site and/or relocating to the Twin Cities.
