  Working closely with the General Counsel, Corporate Counsel and Legal Team, the Corporate Counsel will serve as a generalist, providing legal support for a wide variety of internal clients within the AXIS group, including the Finance, Human Resources, Investments, Tax, Treasury, and Vendor Management departments.

  The position will entail significant, independent interaction with senior management. Accordingly, exceptional judgment, technical expertise, attention to detail, excellent communication and interpersonal skills are required. Individual also must be energetic, flexible and resourceful. Importantly, candidate must be collegial and team-oriented, willing to work in a collaborative environment and contribute to a wide variety of initiatives and projects both within and outside of the Legal Department.

  Key Duties & Responsibilities:

  Securities Law

  • Leading or assisting in all areas related to the Company’s corporate and securities laws matters and related compliance, including advising on SEC filings, including Form 8-Ks, proxy statements, 10-Ks, 10-Qs and registration statements;

  • Prepare and file Forms 3, 4 and 5, maintain SEC filing codes and assist new officers and directors with obtaining Section 16 filing codes;

  • Prepare and maintain D&O Questionnaires and director information charts;

  • Coordinate and prepare materials for annual shareholder meeting and assist with all aspects of shareholder meeting and meeting logistics;

  • Advising on investor relations matters, including review of press releases, investor presentations, investor communications, internal communications and other materials;

  Corporate Governance

  • Prepare agendas, materials, written resolutions and minutes for board of directors and board committee meetings for AXIS Capital Holdings Limited and its global subsidiaries;

  • Assist in managing corporate governance documentation for global entities, including preparing necessary actions, maintaining corporate documentation and overseeing global entity organizational chart;

  • Help prepare and maintain governance-related charters, policies and procedures, including overseeing insider trading program, pre-clearance approvals and maintaining appropriate records;

  • Assist with distribution of Board meeting materials on the Company’s Board portal;

  Corporate Citizenship

  • Provide legal advice on corporate citizenship initiative, including assisting in preparation of annual Task force on Climate-Related Financial Disclosure (TCFD) and Sustainable Accounting Standards Board (SASB) reports.

  • Collaborate with cross-functional team on Corporate Sustainable Reporting Directive (CSRD) requirements.

  Negotiation of Contracts

  • Review, draft and negotiate commercial contracts, including IT licensing and outsourcing agreements;

  • Review and negotiate other agreements, including investment management agreements and non-disclosure agreements;

  Intellectual Property

  • Advise on the company’s intellectual property portfolio and trademark matters, as requested;

  Treasury Matters

  • Work closely with the Treasury Team on banking facilities, resolutions and other actions, as requested;

  Other duties

  • Provide support for securities offerings and M&A, including assisting with due diligence and closing materials;

  • Assist with executive and director compensation matters and equity plan administration;

  • Implement annual code of conduct training and certification program; and

  • Assist the legal department’s efforts in the preparation, implementation and refinement of forms, processes and procedures relevant to areas of coverage.

  Required Education/Training &Experience:

  • Accredited law school graduate with strong academics

  • Licensed to practice law and in good standing

  • Minimum of five years of securities and public company reporting experience in a law firm or in-house corporate legal department

  For this position, we currently expect to offer a base salary in the range of 170-220K GA; 180-230K NY. Your salary offer will be based on an assessment of a variety of factors including your specific experience and work location.

  In addition, you will be offered competitive target incentive compensation, with awards based on overall corporate performance and your individual performance.
