The Corporate Strategic Business Group (CORP SBG) at Honeywell is a division focused on corporate-level functions and initiatives that support the overall operations and strategy of the company. It is responsible for overseeing areas such as finance, legal, human resources, communications, and corporate governance, working closely with other business units and SBGs to ensure alignment and coordination across the organization. The CORP SBG plays a crucial role in the overall strategic direction and management of Honeywell's corporate functions and operations, supporting the company's business objectives.
As a Corporate Senior Paralegal here at Honeywell, you will be responsible for providing legal support and assistance to ensure maximum protection of the company's legal rights. You will work closely with the legal team and senior leadership to ensure legal compliance and mitigate risk.
Sr Paralegal Subsidiary Management leads legal entity compliance in the Americas region and reports to Honeywell’s General Counsel of Securities, Corporate Finance and Cybersecurity.
KEY RESPONSIBILITIES:
Subsidiary management and corporate housekeeping for subsidiaries in the U.S./Americas
Corporate restructuring and diligence, drafting and filings, company formations and management of corporate records
Execution of a wide range of Corporate Secretarial matters, drafting documentation and arranging certification for global requirements etc.
Interacting with directors and officers for signatures
Management of Counsel and allocated budget in the relevant jurisdictions
Lead Administrator for subsidiary database, managing user access, training staff and managing usage procedures and SOX audits
Less than 10% travel is expected
U.S. PERSON REQUIREMENTS
Due to compliance with U.S. export control laws and regulations, candidate must be a U.S. Person, which is defined as, a U.S. citizen, a U.S. permanent resident, or have protected status in the U.S. under asylum or refugee status.
YOU MUST HAVE:
5+ years of experience in Subsidiary Management
3+ years of experience managing complex restructurings and global requirements with high attention to detail within short turnaround times
Ability to speak, write and read English
WE VALUE:
Bachelor's Degree or equivalent work experience and a paralegal degree/certificate
Excellent written oral communication and project management skills
Knowledge of Compliance laws of various countries
Ability to work independently
High attention to detail
Organizational time management skill
Customer focused skilled relationship builder
Ability to excel within a matrixed and multi-national organizational
Project Management Professional (PMP) or equivalent
