In this role, you will work with our sales and distributions teams in Asia as well as global functions including Supply Chain, Quality & Compliance, Finance, Marketing, and the People team. You will support a wide range of matters including contracts, marketing and advertising, regulatory and compliance.If you enjoy working on complex projects at a fast-paced, growing company, we would love to hear from you.The Corporate Counsel reports to the Vice President of Legal. The role is based in our Seattle office will be required to be on-premise at least 2 days per week.Key ResponsibilitiesReview, redline, and negotiate commercial agreements to support outbound sales and inbound purchasing engagements.Assist business teams in drafting and preparing operational documents that are ancillary to definitive agreements (e.g., policies and guidelines).Serve as the first point of contact to various business functions, including Supply Chain, Quality and Compliance, and Sales.Create contracting standards, forms and related workflows to support contracting processes.Collaborate with the Contracts Management team to implement and optimize procedures for NDAs, contract renewals, amendments, and new SOWs.Counsel business personnel in connection with disputes involving commercial agreements.Create and deliver training to business teams that are involved with contracts.Provide support to:Anti-counterfeiting efforts.Managing outside counsel on immigration, real estate, employment, litigation, and regulatory matters.Creating contract governance programs.Ad hoc projects at the request of the VP of Legal.Who You AreExcellent verbal and written communicator, demonstrating the interpersonal skills required to effectively interface with key stakeholders, team members, business leaders, and employees at all levels within the company.Exercise superb judgment and initiative and possess strong problem-solving skills.Comfortable working with ambiguity, excel in a fast-paced environment and operate with a sense of urgency.Enjoy creating and establishing sensible, scalable processes and programs to optimize workflows.Have strong analytical and problem-solving skills with an outstanding ability to simplify concepts and to bring clarity in the face of ambiguity.Willing to be innovative in the delivery of legal services.Aligned with our values, possess a sense of humor and positive approach to the work.Education and ExperienceJuris Doctor degree, licensed to practice law in at least one state in the U.S.5+ years as an attorney at a recognized law firm and/or an in-house legal department.3+ years of experience in commercial transactions, M&A, or corporate finance.Advanced proficiency with Office 365, including Word, Excel, PowerPoint, Teams, and SharePoint.Prefer experience with marketing, regulatory, supply chain, sales & distribution.Prefer experience with consumer goods and/or retail companies.Stanley and tms are committed to a diverse and inclusive work environment.
