WHAT WILL YOUR MAIN RESPONSIBILITIES BE
Draft, advise on, review and negotiate, contracts entered into by the local Customer Development (“CD”) team, including, distribution, sales, partnership agreements, vendor agreements and promotional contracts.
Advise on advertising and marketing campaigns, ensuring adherence to applicable laws and regulations while supporting the development of creative strategies.
Provide legal advice and coordinated local risk analysis to the CD team on new route to market and IT projects.
Support handling of local CD related disputes including providing advice concerning pre-litigation CD related disputes, providing advice regarding avoidance or initiation of litigation or arbitration as appropriate and developing and implementing affirmative CD related litigation strategies.
Identifying potential legal risks of CD related business activities and proactively taking steps to minimize legal exposure.
Ensuring that the CD team complies with all internal policies, local regulatory and reporting requirements.
Prepare and provide training to the CD Community on competition law, contracts and all legal related matters.
Work in close collaboration with the Competition Global Network to ensure deployment of best practices and risk mitigation initiatives.
Corporate Governance
Manage and organize board meetings, including preparing meeting agendas, collating board packs, and ensuring accurate minutes are recorded. Provide guidance on corporate governance practices and compliance with applicable laws and regulations.
Stay abreast of changes in laws and regulations affecting the company and advise management on compliance requirements. Assist in the development, implementation, and monitoring of compliance programs.
Maintain accurate corporate records, including filings, registrations, and other legal documents. Ensure timely filing of statutory forms and reports.
Support to the TUI General Counsel on legal and governance matters. Collaborate with internal departments to address legal and compliance-related queries
Identify potential legal and compliance risks and support TUI General Counsel on developing strategies to mitigate these risks. Implement best practices to ensure the company operates within legal boundaries.
Work in close collaboration with the Corporate Governance Global Network to ensure proper reporting, deployment of best practices and risk mitigation initiatives.
General
Liaison (written and oral) with key internal business partners.
Identify and explain legal risks to business partners including proposing solutions and provide pragmatic, commercial advice to the business.
External engagement: stay up to date on new regulatory and legal developments, conduct research into applicable areas of existing or emerging law and train colleagues in the CD team regularly about the findings.

At least 10 years of experience as a in-house or private practice as an attorney engaged in FMCG sector.
Good command of English & Turkish, written and spoken
Ability to communicate clearly verbally and in writing
Ability to prioritise and work with Legal team members and business partners in different geographic locations/time zones
Adaptable, proactive and keen to learn
Good logic and analytical skills and attention to detail
Self-motivation to achieve excellence in all matters
