The Opportunity
We are looking for an accomplished Assistant Vice President to join our Company Secretary Team as part of our financial services business in Luxembourg.
As part of the global expansion of the Maples Group’s financial services offering, our Luxembourg office opened its doors in 2007. As part of our Luxembourg team you will be performing below key duties:
Key duties:
The CoSec AVP’s primary focus is on the preparation of corporate documentation needed during the life cycle of a company from incorporation to liquidation. This includes but is not limited to:
· organisation of the Annual General Meeting (the “AGM”), including drafting standard notices covering primary statutory points required under Luxembourg company law and preparing draft minutes of the AGM accordingly;
· provision of corporate secretarial support for additional shareholder meetings beyond the AGM where lawyers/notaries are not involved;
· annual filing of accounts and other related required documents stemming from statutory decisions taken at the AGM (board composition, appointment of auditor…);
· preparation and maintenance of a centralised corporate events calendar;
· act as Secretary to quarterly Board of Directors meetings and preparing Minutes of the meeting within the 48-hour turnaround time (for plain-vanilla quarterly’s, pre-drafted transactional or annual approvals) or within deadlines agreed with client and/or FD based on number of companies or complexity;
· the timely update and maintenance of corporate records including company registers (shares, PECs, CPECs, warrants…);
· the timely update and maintenance of client information with the company’s internal systems and applications;
· the coordination of client requests for translations, notarization, apostille and ad hoc submissions to the Luxembourg register of trade and companies or RESA (the “RCS”); and
· liaise with lawyers and notaries for day to day events.
Requirements:
In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following:
· 3 to 4 years of experience in the company secretarial field
· Good knowledge of the Luxembourg legal framework, regulations as well as AML regulations/guidelines applicable
· Excellent communication skills
· Fluent English is required (additional languages are viewed as beneficial)
· Ability to work on his/her own initiative
· Ability to demonstrate excellent organisation and planning skills
· Methodical, with strong attention to detail
· Ability to deliver on tight timescales
· Ability to work well in a team environment
