Robert Half is partnering with a global company that is hiring a corporate paralegal or contract manager for its U.S. headquarters in Sunrise, FL headquarters. This Corporate Paralegal will report into the General Counsel and will be responsible for contracts, corporate governance, corporate formations and maintenance, compliance, and regulatory matters. Position is hybrid remote with 4 days in the office/1 day from home along with full benefits, a base salary up to $160,000 plus bonus. No relocation. Responsibilities include:

Draft, review, negotiate a variety of agreements including, acquisition documents, confidentiality agreements/NDAs, letters of intent, leases, commercial contracts with suppliers, service agreements as well as contractor/consultant/employment agreements.

Handle corporate formation and maintenance across the US including business licenses and related filings.

Support board/shareholder meetings and corporate filings.

Assist with global corporate governance/compliance activities.

Provide acquisition support, including due diligence on legal and regulatory matters and board/shareholder meetings and corporate filings.

Requirements

Qualifications:

Bachelor’s degree or paralegal certificate.

3+ years corporate paralegal experience in a mid to large law firm or in house legal department

Must have strong contracts and contract management experience including redlining documents.

Strong computer skills, Microsoft Office.

Strong communication (both written and oral), client service and organizational skills.
