　　Robert Half is assisting a prominent law firm that is seeking a talented and experienced paralegal to join its dynamic team. You'll play a crucial role in supporting the firm's attorneys by accurately and efficiently handling corporate and LLC formation documents, conducting comprehensive M& A due diligence, and ensuring filings comply with legal and regulatory requirements.

　　Responsibilities:

　　-Draft and prepare corporate and LLC formation documents, including Articles of Organization, Bylaws, Operating Agreements, Resolutions, and related filings. -Conduct M& A transactional due diligence, including litigation searches, UCC searches, and preparation of schedules. -Manage the process of obtaining FEINs and other necessary business licenses and permits. -Familiarize yourself with and perform real estate searches and filings with the Register of Deeds. -Maintain precise and organized case files and document management systems. -Communicate effectively with clients, attorneys, and third-party vendors. -Stay current with evolving legal and regulatory requirements in your practice areas.

　　Qualifications:

　　-Minimum of three years of experience as a paralegal in a law firm setting. -Proven track record of accuracy and attention to detail in preparing and filing legal documents. -Strong research and analytical skills, with proficiency in conducting due diligence investigations. -Familiarity with corporate and LLC formation procedures and M& A transaction workflow. -Excellent written and verbal communication skills. -Ability to work independently and manage multiple tasks simultaneously. -Proficient in legal research databases and case management software.
