A Healthcare Company is seeking a Corporate Paralegal to support its General Counsel with corporate governance and contract management responsibilities.
Responsibilities:
• Assist with corporate governance activities, including maintenance of books and records for
Corporate Secretarial function, annual corporate filings, coordination of annual meetings and
drafting of related materials.
• Subsidiary compliance, including managing entity formation and dissolution, integration, M& A
and restructuring projects.
• Drafting and editing corporate governance documents such as board and shareholder
resolutions, meeting agendas and minutes, annual reports, policies, and agreements.
• Assisting with execution of complex multi-document transactions such as mergers, acquisitions,
integration and financing matters.
• Assisting in responding to due diligence requests.
• Maintaining and updating information in legal entity database, including information regarding
subsidiaries’ officers and directors, annual consents; qualifications, registered agents, and
registered addresses.
• Support implementation and administration of the company’s contract management system.
• Prepare reports for the General Counsel regarding corporate entity status and compliance.
• Work collaboratively with compliance and licensing to ensure appropriate licensure of all
entities, healthcare individuals and pharmacies.
• Supporting all administrative tasks needed to manage the Legal Department, including invoice
and bill processing, general file and database management, archiving, and contract repositories
• Other job duties as assigned by the General Counsel from time to time.
Requirements
• BA/BS degree or paralegal certificate and relevant work experience.
• 5-7 years’ experience in a paralegal role.
• 5+ years of work experience with M& A and corporate governance experience, including annual
report filings, foreign qualifications, and DBAs.
• Experience working in highly regulated/licensed industry and working with various regulatory
boards.
• Must have the ability to read, analyze and interpret legal documents and to effectively present
information to business partners and management.
• Must be able to work autonomously and exercise independent judgement.
• Demonstrated ability to interact in a collaborative manner and at a professional level with
internal and external clients at all levels.
• Technical proficiency in MS Office, including SharePoint, and utilizing legal research databases.
• Ability to meet multiple deadlines, with a high degree of accuracy and efficiency.
• Must have excellent attention to detail including excellent organizational, verbal, and written
communication skills.
• New Jersey notary required
