As a Liaison tothe Board of Trustees, you will guide the activities associated withBoard of Trustee (Board) planning, agenda development, documentation ofmeeting minutes, and formal Board actions. Serve as a liaison to theBoard by maintaining electronic Board portal, facilitating meetings, andresponding to Trustee questions. Maintain detailed and accurate recordsof all Board activity in various media through effective archivalrecords management and documentation while protecting confidentialityand maintaining regulatory compliance. Responsibilities: Coordinate allaspects of Board and other MCW committee activities including but notlimited to: agenda development and coordination, meeting scheduling andvenue preparation, minutes preparation, newsletter content preparation,administrative support activities, documentation of Board actions, andmaintenance of Board records to enable informed and efficient decisionmaking. Coordinate compilation and distribution of timely and accurateBoard and committee meeting materials including publication of materialson electronic Board portal. Advise MCW leadership team of mattersrelated to MCW bylaw and/or committee charters or work plans. Record themeeting minutes of all proceedings of Board or committee meetings orproceedings including all official actions of the Board. Distributeminutes to all intended recipients and stakeholders. As appropriate,identify questions and items arising from meetings that requirefollow-up by other MCW leadership team or other committees. Monitorpending vacancies and terms of current members to recommend committeeassignments to balance member eligibility and backgrounds with thepriorities of the Board. Oversee the Board budget, expenses, and fundsallocations. Coordinate and maintain annual Board planning calendarincluding meetings, MCW timelines, deadlines, and business cycles.Coordinate planning and logistical arrangements for special Board orinstitutional events. Research and route correspondence on behalf of theBoard at large and the President/CEO or Senior Vice President/GeneralCounsel. Summarize all correspondence to facilitate decisions andsupport Board strategic goals. Prepare a variety of confidentialcorrespondence, reports, and resolutions for review and use of allstakeholders.
