This role will provide high-level legal supportthrough advising and guiding MCW on contractual and businessarrangements with its clinical partners, including Froedtert Health,Children\'s Wisconsin, and the Zablocki VA. Key responsibilities and prioritiesinclude: Responsibilities: Serve under the oversight of the GeneralCounsel and act temporarily in his/her absence to fulfill theresponsibilities of the Office of General Counsel. Suggest strategicinitiatives to improve the legal support provided to clients of theoffice, ways to simplify legal processes and improve templates, whilealso maintaining an appropriate case load of legal matters. Upon requestof the General Counsel, serve as a mentor to junior attorneys and staffwithin the office. Provide legal counsel and strategic advice to theorganization\'s executives and management, including but not limited to,the chief executive officer, chief financial officers, chief operatingofficer and deans/department chairs/division chiefs on a wide range oflegal issues. Review, draft, negotiate, and manage a variety of complexand high-level transactions and contracts, including joint ventures andmajor definitive agreements with key strategic partners. Assist in thereview and management of other contracts with clinical partners such asprofessional service agreements. Serve as the primary legalrepresentative to complex corporate transactions, including mergers andacquisitions. Participate in due diligence and legal aspects of mergers,acquisitions, and other corporate transactions. Provide oversight andmanagement of outside counsel relationships.Assist in maintaining goodcorporate governance practices, including advising on board, corporatestructure, and compliance with corporate bylaws and regulations.
