Draft, negotiate, and review transaction documents, including term sheets, indentures, credit agreements, security documents, fee rebate letters, risk retention letters, investment management agreements, equity contribution agreements, collateral administration agreements, securities account control agreements, and issuer formation and corporate governance documents. Prepare legal opinions in connection with enforceability and validity collateralized loan obligation issuances, true sale and non-consolidation, Rule 10b-5, and risk retention. Structure and conduct due-diligence reviews of transaction platforms, including asset origination source, financing arrangements, risk retention programs, and transaction takeout parameters. Position Requirements: JD, LLM or foreign equivalent plus five (5) years of experience practicing law. Two (2) years of experience must include: Advising on structured finance, traded products, markets infrastructure, hedging, and securitization legal issues.
