JOB DESCRIPTION
SUMMARYUnder the general direction of the Vice President and Deputy General Counsel/M&A Counsel and Executive Director and Associate General Counsel, Commercial- Americas, this position serves as the paralegal for the Commercial Transactions team in the Americas and provides support to executive in the Legal Dept.
RESPONSIBILITIES
Coordinate the signatures of legal documents in accordance with a defined process including arrangements with notaries and apostilles.
Support corporate governance by drafting board resolutions, nomination/removal letters, power of attorney, and other relevant resolutions for subsidiaries.
Update and maintain a corporate entity database, including information relating to shareholders, directors, officers, addresses and shareholding structure and documents such as meeting minutes, resolutions; and provide customized corporate information reports as requested.
Support filing of annual reports, registering to do business in the USA and other locations in Americas region.
Review and draft various type of agreements and contracts in accordance with defined rules and checklists and under supervision and training of attorneys.
Manage virtual data-room for special projects. Legal research. Provide data on external legal services and costs in the Americas region to the legal team. Assist with special projects.
Create, generate, compile, and edit reports, presentations, and spreadsheets, including an ability to analyze and process multiple sources of data. Provide other support and perform other duties as assigned from time to time.
Qualifications
At least 10 years of paralegal experience with a minimum of 7 years' experience as a certified paralegal with a large law firm or corporate law department.Paralegal certificate required.
Bachelor's degree preferred.
A Michigan notary or promptly become a Michigan notary.
Detail-oriented, self-motivated and analytical. Demonstrated effective oral and written communication and organizational skills. Strong organizational, problem-solving and interpersonal skills. Must be able to multi-task, be flexible, and be able to prioritize and complete projects effectively and efficiently.
High proficiency in Microsoft Office Suite of products, library, and database creation and maintenance.
Experience in working with entities in Mexico, Brazil, and Argentina and on commercial real estate matters in the USA is a plus.
Familiarity with CounselLink web-based technology or other law firm billing software, Intralinks or other virtual data room software, and/or entity management software is a plus.
Experience working with third party vendors, including outside counsel. Ability to understand large company processes and procedures (experience working in international company desirable). Cultural Awareness.
Demonstrated ability to maintain a high level of confidentiality and handle sensitive information.
