The Senior Legal Counsel’s primary responsibility will be to provide legal support to the structured products (i.e., structured notes and structured certificates of deposit) business. You will be responsible for managing the legal risks of the business by providing practical, commercial, and timely advice. In addition to supporting the structured products business, you will assist with benchmark funding issuances, as well as help support the commercial paper program. You may also be asked to assist periodically with certain corporate and disclosure matters.
As our Senior Legal Counsel, you will manage the legal risk of the business and advise on legal matters in connection with our various structured products programs and certain other issuances by Treasury. Among other things, this will include drafting and negotiating standard contract documentation; monitoring, reviewing and/or drafting offering documentation; and participating in the review of marketing and sales literature. You will be responsible for identify new legal, regulatory and market developments that can affect business activities and you’ll educate our sales teams on how these developments may affect their business. This will include frequent and ongoing interaction with our front office and other critical teams (such as regulatory, compliance, operations, treasury, tax).
For this role, HSBC targets a fixed pay range between $191,700 and $287,600.
The final fixed pay offer will depend on the candidate and a number of variables, including but not limited to, role responsibilities, skill set, depth of experience and education, licensing/certification requirements, internal relativity, and specific work location.

Qualifications

To be a member in good standing of the Bar of the State of New York.
4 years of relevant structured products experience and a strong working knowledge of the relevant securities laws and regulations governing securities issuances and distribution, including Regulation S, 3(a)(2) and Rule 144A.
Excellent critical thinking skills and can always see the bigger picture while paying attention to detail.
