This is a remote Senior Corporate Paralegal position.
Responsibilities: Assist with forming, maintaining, and managing domestic and international entities, subsidiaries, and registrations, including maintaining corporate and compliance calendars, ensuring timely filings, and reviewing and filing relevant foreign entity registrations and business licenses. Assist with Board and shareholder meetings, including preparing, distributing, and maintaining meeting minutes, materials, consents, and secretary's certificates, as well as maintaining the minute book and index. Assist with securities compliance activities, including Rule 701 reporting. Support finance and stock administration team to ensure a best-in-class equity program. Support the legal team as needed, including without limitation using, maintaining, and administering the legal team's tools and managing legal records. Coordinate with other legal teams on legal and other cross-functional issues.
Qualifications: At least ten years of relevant legal experience as a corporate paralegal at a law firm or multinational corporation, including at least four years of experience at a public company; experience with enterprise cloud or software companies is a plus. Paralegal certificate or equivalent training. Experience with supporting domestic and international entities, subsidiaries, and registrations. Experience with support Board and shareholder meetings.
Experience with supporting SEC reporting and compliance activities for a NYSE or Nasdaq listed company. Experience with equity plans, stock option agreements, and stock transfers.
Experience supporting litigation is a plus. Experience with using office software and services such as Google Drive, Docs, Sheets, and Google Slides, and Microsoft Word, Excel, and PowerPoint.
