About Managing Director, Legal - Trading Markets and Operations

  Your Opportunity

We are recruiting a senior leader to support our Trading, Markets and Operations legal group. This leader will partner with senior executives throughout the company to help assess current developments in the regulatory landscape and drive legal strategy. This leader will advise on high-stakes financial and regulatory issues essential to Schwab’s business strategy.

The Managing Director, Legal – Trading, Markets and Operations (MD) will report to the Chief Counsel for Trading, Markets, and Operations (Chief Counsel). The MD will serve as an advisor to the Chief Counsel and business partners on CFTC, NFA, SEC, FINRA, exchange, and clearing agency regulatory initiatives relating to derivatives trading and market structure.

The MD will support navigating the complex federal financial regulation that impacts our trading and operations business. Given the nature of trading, attorneys in this area are responsible for handling time-sensitive issues. In addition, the MD will maintain regular interaction and direct interface with senior policy makers at various federal regulatory agencies and self-regulatory organizations, including the CFTC and NFA.

As a trusted leader and advisor, the MD will draw upon substantial experience and seasoned judgment with respect to providing legal advice to the business and proactively identifying issues in addition to the following responsibilities:

Review, analyze and interpret new legislative initiatives, including CFTC and NFA rulemaking, court decisions, actions by the exchanges, that may impact derivatives market structure.

Assist and support the Chief Counsel for Trading, Markets, and Operations and other senior leaders within legal and business in providing advice on difficult statutory or regulatory interpretation where gaps or ambiguities in the law exist, comment on proposed legislation or regulation, seek clarification or regulatory changes, and advocate positions before regulatory agencies.

Consult and coordinate with other members of the legal services team to ensure efficient and consistent functioning. Manage outside counsel on significant matters.

Provide specialized support to the Chief Counsel covering specific segments of trading, markets, and operations, as well as interact with the senior level business partners, including the Head of Trading and their direct management team.

Develop and prepare guidance on complex legal issues that arise from changes to federal law that impact certain segments of trading and market structure.

Handle FCM operations and trading-related issues related to the framework for execution and clearing structures in U.S. derivatives markets.

Identify legal issues, conduct legal research, provide legal analyses, prepare legal documents such as memorandum, and providing legal solutions and recommendations. This person has considerable and highly specialized background and experience regarding trading and markets in U.S. derivatives products, including as a regulator with the government or at a self-regulatory organization, or in private practice.

  What you have

Law degree (JD, LLB, or equivalent) from an accredited US law school. Admission to and in good standing with the state bar of at least one U.S. state.

At least 10 years of experience as a practicing attorney either in-house (or in an equivalent setting) or at a reputable law firm.

Sound legal and business knowledge, judgment, and ability to support lawyers and business partners in an efficient manner.

Extensive experience and seasoned judgment are critical for providing legal advice to the business and proactively identifying improvements in the legal management of issues.

Ability to handle multiple assignments simultaneously with an effective resolution of conflicting priorities and experience advising business and technical teams on launching new products and features.

Ability to leverage strategic and analytical capabilities to make sound, timely decisions based on client and field input supporting and maintaining a strong risk and control environment including evaluating risk versus expense versus the client experience.

Extremely strong client relationship management and negotiation skills required with the ability to assess and effectively communicate processing capabilities and identify alternative solutions for clients and business partners.

Combination of a strategic, practical, and creative thinker; strong “systemic” thinker who can connect all the dots, taking the initiative and resulting capabilities from concept to execution.

Confidence and courage in business and talent decisions, actions, and communications with a demonstrated ability to take decisive action when needed, including championing ideas, position, or dissent.

Strong emotional intelligence/maturity and senior-level executive presence.

Thrives on initiating, building, and cultivating strong authentic relationships inside and outside the group; highly collaborative; navigates and activates alignment across organizational silos.

Extraordinary interpersonal and communication skills; phenomenal ability to communicate information effectively internally and externally, including to non-legal audiences, and to drive cross-functional alignment and action.

Creative thinker with strong problem-solving skills and the ability to stay calm under challenging circumstances.

Execution oriented mindset with the humility, drive, and strong growth orientation.

Facilitate a team-based approach to subject matter management and knowledge sharing, and comfort with a flexible, agile environment emphasizing collaboration and team performance over management hierarchy.

Base compensation: $225,000 - $375,000. Your compensation may be different. Talk with your Talent Advisor to learn more. In addition to the salary range, this role is also eligible for bonus or incentive opportunities.
