The Executive Vice President, General Counsel and Corporate Secretary is integral and vital to the success of USAP. The General Counsel provides strategic legal direction to the business relative to the entire continuum of legal issues addressing a complex healthcare organization including contracting, litigation/risk matters, legal compliance (healthcare, antitrust, L&E, etc.), employment, M&A, legal operations, and legislative affairs. The General Counsel is responsible for leading corporate strategic and tactical legal initiatives, providing senior management with prompt and effective advice on Company strategies and their implementation, and managing the legal function. The General Counsel functions as a trusted legal business partner to the CEO, Board, investors, and executive team and will have the primary responsibility of planning, implementing, managing, and controlling all legal and compliance activities within the Company.

Build a High-Performing Legal & Compliance Organization.
Manages a team of corporate counsel (https://cowenpartners.com/5-important-questions-to-ask-when-recruiting-general-counsel/) and other members of the legal and related departments.
Develop and lead the Legal & Compliance talent portfolio with respect to talent, capabilities, systems, and processes that enable USAP’s business model. Optimize as necessary to support the scale and growth of the business. Retain key talent through taking an active role in talent identification, engagement, development, and growth.
Ensure Legal & Compliance team partners with other teams within USAP to drive legal and compliance related elements in our business strategy.
Maintain timeliness, accuracy, and accessibility of legal and compliance support in a highly fast-paced environment.
Serve as a Legal Advisor to the CEO and Executive Leadership Team .
As a member of the Executive Leadership Team, provide insight into legal and compliance issues. Work with the leadership team to promote a culture of accountability and risk mitigation.
Develop a deep understanding of the Company’s operations and all material factors that may pose a legal or compliance risk to the Company.
Provide the executive team with information necessary to promote fact-based decision-making.
Take an enterprise approach as a member of the executive team beyond the General Counsel’s specific areas of functional accountability.
Play a key leadership role in the overall successful operations of the business.
Provide legal support to ensure the long-term stability and viability of the Company.
Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance and implications on legal matters.
Serves as key legal advisor on all major business transactions, including acquisitions and divestitures.
Judges the merits of major court cases filed against or on behalf of the Company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.
Assumes ultimate responsibility for ensuring that the Company conducts its business in compliance with applicable laws and regulations.
Advises on legal aspects of the Company’s financing, including assessing and advising on current and future business structures and legal entities.
Qualifications
Juris Doctor Degree with experience in healthcare law and business.
Must be a member of a state bar and in good standing.
Prior experience in the legal executive position in a healthcare services setting required.
Experience working on matters of corporate governance and with a board of directors.
Experience working with Mergers & Acquisitions, strongly preferred.
Familiarity with clinical procedures, medical malpractice, intellectual property, and credentialing preferred.
Keen alignment with the mission, values, and principles of the Company with a strong degree of respect for and adherence to the highest levels of regulatory, compliance, and ethical boundaries
Superior people management skills.
Ability to focus on business goals and facilitate lawful resolutions and solutions to business issues.
