The Job

　　The Corporate Counsel will provide practical, timely, quality legal services to help the company meet its business objectives and remain in compliance with laws, rules and regulations applicable to the company's businesses.

　　What You’ll Do

　　Draft, review and negotiate a wide variety of commercial contracts including NDAs, consulting agreements, services agreements, software license and hosting agreements, in support of all commercial functions of Ace Hardware Corporation and its affiliates, with a focus on the Ace Hardware service businesses (e.g., Handyman, Paint, Plumbing, HVAC, Electrical)

　　Provide legal advice to business clients in various departments, including Ace Hardware service businesses, on a variety of issues including trade and business licensing and registration issues and governance, consulting with others within the Legal Department as appropriate

　　Provide legal advice to Ace Hardware businesses on franchise documents, operations manuals, and other operational issues, working with appropriate Legal Department colleagues and directly with outside counsel, as needed

　　Assist business clients with contract and other commercial disputes that may arise, working with appropriate Legal Department colleagues and directly with outside counsel, as needed.

　　Develop an assigned subject matter expertise regarding specific legal issues or areas as assigned by supervisory attorneys, such as franchising, service businesses’ trade, contractor and business licensing and other related legal issues, corporate, marketing and advertising, or credit and financing.

　　Perform special assignments or projects, without significant supervision, as assigned by senior counsel within the Legal Department.

　　Attend and take minutes of Board committees as assigned.

　　Required Skills

　　Law Degree (Juris Doctorate)

　　Licensed to practice law in Illinois

　　A minimum of five years of experience in one or more of the following: law firm or corporate law department; government agency; other relevant experience.

　　Ability to work in a hybrid schedule in Oak Brook, IL office 3 days a week.

　　$132000 - $160000 per year
