Job Description:Churchill is seeking an experienced professional to assist Churchill’s General Counsel and other members of senior management (e.g., C-suite executives, CCO and Corporate and Fund Controllers) with governance and board matters pertaining to the management of internal company and fund boards. The candidate will also support Churchill’s General Counsel with legal and administrative matters generally, including legal entity tracking and recordkeeping. The candidate will collaborate frequently with internal and external business partners, including Legal, Compliance, Finance and Accounting, internal board directors, independent directors, external counsel and third party vendor firms, and will function as a central coordinator of corporate and fund board and committee governance for Churchill’s business. A key responsibility will be the administration of board and committee meetings, including logistical planning (including scheduling), preparation of agendas with internal stakeholders, tracking open items between meetings, and managing the meeting process. The ideal candidate will have familiarity and experience with regulated and private fund companies (both US and non-US), and will have familiarity with the Investment Company Act.Responsibilities:•Oversee and administer Churchill private and regulated board governance matters, with primary responsibility for coordinating board and committee meetings across Churchill’s business. Act as primary liaison between Churchill management and internal and external board members (across US, Cayman and Luxembourg fund complexes).•Track and coordinate new product launches with internal and Nuveen Product management colleagues, including preparation of fund structure charts and legal entity lists for new business and for existing fund families and investment structures.•Prepare, review and maintain meeting minutes and legal documentation associated with meetings (including recordation of discussion topics and approvals).•Liaise with in-house and external counsel to assist with regulatory filings.•Coordinate and prepare meeting materials with Legal, Finance and Compliance organization.•Maintain meeting calendars and liaise with internal and external stakeholders and service providers. Qualifications:•Minimum 5-7 years of related experience in asset management legal or corporate governance capacities.•Ability to use judgment to engage senior leaders or work independently under senior leader supervision in a fast-paced, results-oriented environment.•Exceptional judgment and ability to identify logistical and administrative issues to be resolved by senior leadership.•Excellent organizational and problem-solving skills.•Excellent written and verbal communication skills.•Strong attention to detail.•Bachelor’s Degree required. Potential Salary: $125,000 - $175,000 USD Actual base salary may vary based upon, but not limited to, relevant experience, time in role, base salary on internal peers, prior performance, business sector, and geographic location.
