Description Twin Cities PBS (TPT) is one of the most innovative public media organizations in the country. Every day, TPT uses the power of media to advance the arts, spur learning, help young people succeed and help adults age vitally. TPT presents extraordinary PBS programming and also produces award-winning content for the national PBS system. TPT is currently seeking candidates for our new opening of Associate Corporate Counsel. This position will serve as a key member of the Legal Department reporting directly to TPT's General Counsel. Will be responsible for a heavy transactional flow related to media, music and programming contracts, intellectual property licenses, and licensing of digital content. The position will also be responsible for the negotiation and administration of deals involving co-production partners, licensors, licensees, rights, clearances, and vendors. The ideal candidate will have the ability to articulate positions and concepts that come up in the media industry in a way that balances the business needs with legal considerations. Salary: $120,000 - $130,000 Annually (depending on qualifications) Hybrid Workplace: Candidates must live in or be willing to relocate to the Twin Cities Metro area. MAJOR AREAS OF RESPONSIBILITY Provide dedicated legal support to management, advising primarily on content and production-related matters, including intellectual property rights, content clearance and distribution, trademark licensing, rights and permissions tracking, adhering to company production and development standards, publicity and privacy rights, business partnerships, and other matters related to scripted, unscripted, and live programming. Structure and negotiate agreements in support of the promotion and distribution of content online and via other new and emerging digital platforms, including social media. Structure, draft, and negotiate complex business deals, including production, licensing and distribution deals. Handle day-to-day production legal matters including negotiating above and below-the-line talent/host, influencer, producer, director, and showrunner agreements, appearance and material releases, event production, and other production-related agreements. Manage all music licenses, reporting, payments, and accounts for BMI, SESAC, ASCAP, etc. Advise internal clients from various departments on relevant deal terms, interpretation, and implementation. Ensure that all deals are compliant with various regulations, guidelines, and standards and practices. Negotiate license agreements with third party licensors/vendors for inclusion of various elements in support of programming. Ensure "Fair Use" standards are appropriately managed and implemented. Negotiate, draft, and administer various grant, gift, and corporate underwriting agreements. Manage contracts with funding partners and other third parties with respect to production funding/grants, licensing and distribution rights. Manage relationships with external production and development partners including networks, outside counsel, talent agencies, right and clearance consultants, and production services companies. Provide training for staff on matters pertaining to contracts, intellectual property, media and other legal matters as needed. Help maintain TPT's legal team infrastructure, company records, and internal systems. Stay up-to-date and keep key business partners informed about changes to existing policies, laws, and regulations. Manage TPT portfolio of copyrights, trademarks, and other intellectual property. Other duties as assigned. QUALIFICATIONS Education/Experience Graduate of an ABA accredited law school and licensed to practice in Minnesota. Minimum 4 years of law firm and/or in-house legal experience or equivalent (experience at a recognized entertainment law firm or in-house position with a media company preferred). Solid substantive knowledge and experience with contract and intellectual property law required; knowledge of ent rtainment, privacy, music, non-profit or telecommunications law a plus. Knowledge, Skills, and Abilities Ability to negotiate, analyze, and draft a wide variety of media-related agreements; experience evaluating information to determine compliance with standards, laws, and regulations. Proficient knowledge of standard contract terms needed to draft contracts, excellent writing skills and attention to detail for consistency and factual accuracy. Ability to work independently to research and draft contracts, as well as consult with internal clients and external parties as necessary. Basic understanding of the universe of transactions and legal issues that arrise at a media company, including content production and distribution, advertising. Proficiency in Microsoft Office Suite and understanding of relevant technology, including various digital distribution channels, content development systems, and advertising platforms. Excellent organization, prioritization, problem-solving, and communication skills. Ability to work independently with minimal direct supervision. Ability to lead multi-disciplinary projects and navigate complex relationships. Sharp business acumen, sound judgement, and strategic deal-making ability.
