About Merger & Aquisition Specialist

  Alliance Franchise Brands is seeking a Merger & Acquisition Specialist focused on resales. This position plays a key role in identifying, evaluating, and executing potential mergers and acquisitions for our Franchise Members. You will also assist current Franchise Members with exit strategy options and valuations. Your expertise will contribute to the strategic growth and development of the company's franchise portfolio.

  Essential functions

  Market Analysis:

  Conduct thorough market research to identify potential acquisition targets within the franchising sector.

  Maintain active target lists.

  Participate in telemarketing campaigns when needed.

  Follow-up with all independent business owner lead flow from brokers, internet, and Franchise Member referrals.

  Target Identification:

  Identify and evaluate potential Franchise Members and independent businesses for acquisition.

  Discuss exit strategies with selling Franchise Members.

  Prepare sellers for all steps of sale up to and including settlement/transfer.

  Build relationships with business and franchise brokers to source potential deals.

  Financial Assessment:

  Assess the financial health and performance of target independent businesses and Franchise Members by conducting valuations.

  Conduct due diligence on financial statements, valuations, and cash flow models.

  Deal Structuring:

  Work closely with M&A Director to structure and negotiate deals that align with the company's strategic objectives.

  Communicate with Franchise Members and their brokers about the franchise side of the sale, including the approval process, Franchise Disclosure Document, and applicable fees.

  Collaboration:

  Communicate within department so accurate executive summaries can be prepared.

  Collaborate with cross-functional teams, including legal and compliance and operations to ensure seamless integration of acquired businesses.

  Communicate effectively with stakeholders to provide updates on M&A activities.

  Risk Management:

  Identify and mitigate potential risks associated with M&A transactions.

  Develop contingency plans to address unforeseen challenges during the integration process.

  Documentation:

  Prepare and review all necessary documentation for M&A transactions, including letters of intent, listing agreements, and other legal documents.

  Competencies

  Strong financial analysis and modeling skills

  Excellent negotiation and communication abilities

  Superior customer service skills

  Ability to multi-task with attention to detail

  Travel required

  Minimal travel; 5-10%

  Annual company meeting in Plymouth, MI

  Travel to broker network conventions and industry related trade shows

  Possible travel to annual Franchise Member convention

  Required education and experience

  Bachelor’s degree in business administration, finance, or related field

  3-5 years of experience in mergers & acquisitions, business broker, or financial business advisor role

  Proven experience in data analysis of profit & loss statements and balance sheet

  Knowledge of legal and regulatory aspects related to M&A

  Proficient in Microsoft Office

  Proficient in QuickBooks

  Preferred education and experience

  Preferred experience in franchising or multi-brand environment

  Print and/or sign industry experience a plus
