Savage Services is currently hiring an M&A Counsel to join our team in Midvale, Utah. This role will contribute to our in-house legal team and work on complex issues in a dynamic and fast-paced environment. This position reports to the Vice President, Deputy General Counsel, Corporate Development. The M&A Counsel will provide legal advice and counsel to development and operating teams throughout the organization on business acquisitions, business divestitures, joint ventures, financing transactions, equity investments, complex commercial agreements, and other sophisticated transactions. This role will also support the General Counsel in corporate governance matters and other tasks.

Essential Job Duties and Key Responsibilities
Support the growth of Savage Companies by working closely with the Deputy General Counsel to facilitate transactions across the organization, including drafting transaction agreements, leading negotiations, and performing and supervising due diligence.
Advise and collaborate with key leaders to help structure transactions, identify and mitigate contingent risks, and assist in crafting solutions to protect the company's interests.
Conduct legal research and analysis to provide recommendations and guidance for management teams and other internal clients.
Demonstrate excellent analytical, consulting, drafting, and negotiation skills with the ability to make well-reasoned legal and business judgments and clearly explain complex ideas.
Lead and participate with business teams in undertaking and tracking due diligence related to potential transactions.
Support the Vice President, Treasurer, and treasury team in select financing transactions and oversee debt covenant compliance.
Support the Associate General Counsel, Commercial in designing, drafting, and negotiating complex master service agreements, construction agreements, and other commercial agreements as assigned.
Support the General Counsel in corporate governance tasks including entity structure, organization, and management.
Required Skills and Qualifications
A licensed attorney holding a J.D. with a minimum of eight years of related experience.
Excellent attention to detail and strong project management and organizational skills with demonstrated ability to work under pressure, manage a variety of projects simultaneously, meet aggressive deadlines, and successfully handle urgent situations with patience and diplomacy.
Ability to build credibility quickly and provide strong legal support for the business and finance teams, while positively and successfully managing relationships within a diverse group of stakeholders.
Possess characteristics such as strong executive presence, common sense, teamwork, professionalism, high level of sound judgment and business acumen, excellent time management and accountability, and proactive in resolving issues.
Ability to successfully lead process improvement initiatives around our approach to M&A and other strategic transactions that drive efficiencies impacting the legal team and the organization.
Fluent using the Microsoft Office Suite tools and comfortable and adept at legal research tools (i.e. Practical Law).
Ability to learn and adhere to the company’s internal legal management tools and contribute to improving the Legal Department’s practices.
Must become familiar with, and promote and abide by, our Vision and Legacy and foster an inclusive environment with people at all levels of the organization.
