The Corporate Development Associate plays an integral role in executing the strategic vision of Trane Technologies through acquisitions, divestitures, and partnerships for the enterprise and strategic business units.
Your primary responsibility is to provide financial analysis and modelling/valuation support to executive decision makers to assess inorganic growth opportunities. You may be involved in every phase of an MA engagement. This location for this position is flexible. It may be based in one of our office locations in Brussels, Dublin, Gothenburg, Oberhausen, Basingstoke, Southampton or Epinal. The position is eligible for hybrid working.
Key Responsibilities
Develop valuation models, materials, and recommendations by conducting comprehensive financial analyses, utilizing appropriate valuation methods, and preparing insightful valuation overview and analysis materials for senior executive audiences
Support all elements of the company-wide corporate development process for acquisitions, partnerships, and divestitures, including target identification, analysis, valuation, due diligence, negotiations, contract management, integration, and planning
Become an expert and thought partner to strategic business unit and enterprise leaders regarding the inorganic path required to achieve strategic growth objectives
Partner with business and enterprise leaders to develop and manage acquisition pipelines, as well as to determine and execute acquisition and disposition strategies
Opportunity Identification Pipeline Development
Partner with business leadership to evaluate MA opportunities ranging from small (revenue $10M+) to large (revenue $1B)
Evaluate inorganic growth strategies including acquisition, alliance, licensing, and partnership opportunities linked to corporate and business unit strategies. Partner with Corporate Strategy team to develop and successfully execute inorganic growth strategies
Evaluate risk factors and key financial criteria for both sectors and individual target companies
Manage strategic acquisition funnels and pipelines at the business unit and enterprise level through strategic analysis and adjacent market work
Present to company leaders on corporate development items, including acquisition pipeline activity, potential dispositions, potential targets, diligence updates, and recommended actions
Identify, evaluate, acquire, and integrate businesses to meet strategic and financial objectives
Evaluate existing assets for potential divestiture
Conduct quantitative and qualitative analyses to inform business decisions
Develop communication materials for executive leadership, CFO, CEO, and board of director reviews
Deal Execution
Execute a robust MA process methodology
Build complex valuation models to evaluate mergers, acquisitions, divestitures, and partnerships
Complete all financial analysis, financial modelling company valuation work on MA transactions
Participate in all areas of due diligence (with both internal and external parties) from start to finish
Support negotiation strategy and tactics to ensure transaction success
Execute the end-to-end process of identifying, evaluating, acquiring and integrating new business entities in close collaboration with business unit and corporate leadership teams
Construct financial and economic models and build spreadsheet models to analyze data
Support deal execution process and synthesize input on opportunities and risks
Evaluate tax, accounting, earnings, and return implications
Execute combination or disposition processes to achieve strategic goals
Support regulatory filings and approvals processes, develop transition services agreements, post-closing adjustments, and internal and external communications
Inform transaction strategies, including deal pricing and structure through the use of primary and secondary data and publicly available information
Support deal negotiations, working with legal partners to draft and negotiate contracts and closing documents
Coordinate work streams of projects with Business Unit and functional personnel
Support cultivation of relationships with targets
Position Requirements
Bachelor’s Degree required
Two to five years of post-undergraduate experience required; experience in corporate strategy, business development, mergers and acquisitions, strategic planning, competitive intelligence, corporate development, or other MA-relevant professional services strongly preferred
Excellent judgment and analytical ability to make recommendations/decisions and to resolve complex problems
Strategic thinking, planning and project management skills
Strong financial acumen (experienced in modeling and detailed financial analysis)
Proficiency in analyzing financial documents, business plans and making judgment calls based on research and due diligence
Ability to assess a company’s market and competitive position and operational and financial characteristics
Demonstrated merger and acquisition experience with a large company / experience with large, complex transactions
Ability to structure and develop quantitative/analytic models to test hypotheses
Experience in deal execution preferred
Advanced experience with Microsoft Office tools (e.g., Word, PowerPoint, Excel)
Excellent interpersonal and communication skills, including exceptional presentation skills
Ability to manage multiple complex projects and internal and external stakeholders from different functions, businesses, and backgrounds, while maintaining confidentiality of sensitive information
Strong interpersonal skills with the ability to establish and maintain relationships at all levels in the organization
Excellent attention to detail and accuracy
Highly motivated and organized with demonstrated ability to manage multiple priorities and requests
Pro-active approach and ability to work independently and oversee projects from start to finish
