Represent Brazilian and multinational companies and investment banks in connection with a wide range of Brazilian-based cross-border transactions. Provide legal services and advise companies on U.S. and Latin American capital markets transactions, securities matters, corporate governance, and general corporate issues and securities matters and regulatory matters. Draft, review and negotiate corporate, financial and securities transactions documents, including underwriting agreements, dealer manager agreements, placement agreements, indentures, legal opinions, arrangement letters, comfort letters, closing documents and other documentation in connection with registered and unregistered securities offerings. Draft, review and negotiate Brazilian and U.S. prospectuses, offering memoranda and other offering documents in Portuguese language and English language in connection with registered and unregistered securities offerings. Advise Brazilian and Latin American clients on New York law matters relating to securities offerings, liability management transactions, mergers and acquisitions, corporate governance and general corporate issues and securities laws matters. Lead deal teams, conference calls and meetings with the client and/or opposing corporate counsel, local counsel, auditors and other advisors, as applicable, relating to transaction documents, ancillary documents, and all other relevant aspects of each transaction. Manage transaction timelines and workflows and coordinate with finance, mergers and acquisitions, tax teams and other specialists teams on deal-related matters. Coordinate cross-border transactions with local counsel in Brazil and Latin America, auditors, service providers and other deal advisors. Provide ongoing corporate legal services to public and private company clients related to compliance with corporate governance, securities laws and regulations, and to ongoing Securities and Exchange Commission (SEC) disclosure. Prepare SEC disclosure documents and filings. Lead deal teams and supervise mid-level and junior associate attorneys, staff attorneys and legal assistants to the closing of transactions. Review, supervise and provide feedback on mid-level and junior associate attorneys’ work product and provide training and mentorship. Assist partners in managing client relationships, including client proposals, budgeting, billing, and other administrative matters. Attend client meetings and prepare client presentations. Serve as primary contact for corporate clients in Brazil.Requires Juris Doctor or Master of Laws degree, or foreign equivalent. Must have four years of experience as an attorney representing public and private Brazilian-based and foreign companies and investment banks in cross-border equity and debt capital markets transactions, corporate governance and securities matters. Experience must include: advising companies and investment banks with respect to a diverse range of equity and debt capital markets matters in Brazilian-based cross-border transactions, including debt capital markets transactions valued at $1 billion; drafting and reviewing principal securities transaction documents, including underwriting agreements, dealer manager agreements, placement agreements, lock-up agreements, indentures, legal opinions, comfort letters, and other agreements and documents related to a diverse range of equity and debt capital markets matters; drafting and reviewing Brazilian and U.S. prospectuses, offering memoranda and other offering documents in Portuguese and English; conducting due diligence review of securities transactions documents; preparing and reviewing Securities and Exchange Commission (SEC) filings for reporting companies in connection with ongoing SEC disclosure and securities laws matters; researching and preparing legal memoranda related to securities offerings and SEC filings, general corporate law, securities laws, listing rules and regulations; coordinating work related to cross-border securities offerings with local counsel and other advisors in international jurisdictions, including Brazil; and providing ongoing advice related to compliance with corporate governance and securities laws and regulations. Must be fluent in written and spoken Portuguese, including legal and financial terminology. Must be licensed to practice law in New York. Occasional international travel to Brazil and Latin America required for client meetings or negotiations.
