Job Description
Position Overview
As an Assistant General Counsel, Legal, you will join a growingcommercial transactions team and be focused on energy and infrastructureproject development and specific commercial transactions relatedthereto. You will provide professional legal advice, counsel, andguidance to support the development, construction, origination, financeand management of Invenergy\'s growing renewable and clean energyportfolio.
Responsibilities:
Provide legal support on a variety of commercial transactionsarising throughout the life cycle of Invenergy projects, fromdevelopment through construction, debt and/or equity financing,offtake and operations, which commercial transactions includebuild-transfer agreements, development transfer agreements, powerpurchase and similar offtake agreements, interconnection agreements,EPC agreements, equipment supply agreements, project acquisition anddisposition agreements, operations and maintenance agreements aswell as debt financing, joint venture agreements, tax equitytransactions, cash equity transactions and similar equity relatedagreements.Provide guidance on transaction structuring.Support the drafting and negotiation of project and financingdocumentation.Select and manage outside counsel.Ensure consistency across transactions and compliance with internalpolicies.The position will also provide legal advice and support in otherareas of the Company as needed and able.Required Skills and Qualifications:
JD degree from an accredited law school and active license topractice law, in good standing.
5 - 8 years of experience either within a law firm or as in-housecounsel (or a combination thereof) supporting M&A transactions.
Experience drafting, negotiating, and advising on sophisticatedenergy related project development, construction, finance, offtakeand M&A documentation sought.
Experience researching and analyzing applicable laws andregulations; conducting due diligence reviews; and managingtransaction closings.
Able to work cross-functionally with internal and externalstakeholders under minimal supervision.
Excellent communication skills and ability to relay complex conceptsto members of management.
Self-starter who is proactive, can demonstrate initiative, can workindependently as well as on a team, and who has a roll up thesleeves mentality.
Strong organizational and analytical skills as well as the abilityto multi-task effectively in a fast-paced environment.
Sound judgment, critical thinking, attention to detail, strongbusiness understanding and solid negotiation skills.
The ability to work under pressure, meet tight deadlines, andbalance a heavy workload.
An ability to analyze, interpret, and present complex legal ideasand concepts in a clear and concise fashion.
Preferred Qualifications:
Experience supporting utility scale renewable energy-related projectfinance.Benefits
